General terms and conditions of business

§ 1 Scope

These General Terms and Conditions (GTC) apply to all contracts between Clawgency (operated by The AI ​​Software Company) and its customers for the development, implementation and operation of AI agents.

§ 2 Conclusion of contract

A contract is concluded through the written order confirmation by Clawgency. Offers are subject to change and non-binding.

§ 3 Scope of services

The exact scope of services is specified in the respective project contract or Statement of Work (SOW). Changes to the scope of services require a written agreement.

§ 4 Remuneration and payment conditions

The remuneration depends on the agreed project price. Invoices must be paid without deductions within 14 days of the invoice date. In the event of late payment, default interest will be charged at the statutory rate.

§ 5 Customer’s obligation to cooperate

The customer provides all information, access and resources necessary for the provision of the service in a timely manner. Delays due to lack of cooperation are not at Clawgency's expense.

§ 6 Warranty and liability

Clawgency is only liable for damages in the event of intent or gross negligence. Liability for slight negligence is limited to foreseeable, contract-typical damage. Liability is limited to the amount of the order value.

§ 7 Data protection and confidentiality

Both parties undertake to maintain confidentiality regarding all information that becomes known as part of the collaboration. Clawgency processes personal data in accordance with the data protection declaration and, if necessary, concludes an order processing agreement (DPA).

§ 8 Intellectual Property

Upon full payment, Clawgency transfers to the customer the rights of use required for the agreed purpose to the developed agent. Clawgency reserves the right to use general methods and know-how for other projects.

§ 9 Term and termination

Current operating and maintenance contracts have a minimum term of 3 months and can then be terminated with 30 days' notice to the end of the month.

§ 10 Final provisions

global law applies. The place of jurisdiction is the headquarters of The AI ​​Software Company. If individual provisions are ineffective, the rest of the contract remains valid.
